AGREEMENT TO TERMS
www.kidsmates.org is a website operated by KidsMates Inc., a nonprofit organization incorporated under the laws of the State of Florida, U.S.A. (“KidsMates,” “we,” “us,” or “our”). These Terms of Use (“Terms”) constitute a legally binding agreement between you, whether personally or on behalf of an entity (“you”), and KidsMates, governing your access to and use of the Site (as defined below) and all content, features, or services offered through it.

By accessing or using www.kidsmates.org, including any related media form, media channel, mobile website, or mobile application (collectively, the “Site”), you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy and Cookies Policy, as each may be amended from time to time.

We reserve the right to modify these Terms at any time without prior notice. The revised version will be effective as of its stated “Effective Date.” Continued use of the Site after the Effective Date constitutes your acceptance of the updated Terms. If you do not agree to be bound by the amended Terms, you must discontinue use of the Site immediately.

The Site is controlled and operated from within the United States. Users accessing the Site from outside the U.S. are solely responsible for compliance with applicable local laws. You agree not to use the Site in any jurisdiction or manner that violates U.S. or foreign laws, regulations, or restrictions.

All users who are minors in their jurisdiction of residence (generally under 18) must have parental or guardian permission to use the Site and must be directly supervised while using it. If you are a minor, your parent or guardian must review and agree to these Terms prior to your use.

INTELLECTUAL PROPERTY RIGHTS
Unless otherwise indicated, all source code, databases, software, designs, text, images, audio, video, graphics, and other materials on the Site (collectively, the “Content”), as well as all trademarks, logos, and service marks displayed (the “Marks”), are owned or licensed by KidsMates and protected under U.S. and international copyright, trademark, and intellectual property laws.

The Content and Marks are provided “AS IS” for your personal, noncommercial use only. Except as expressly permitted by these Terms, no Content or Marks may be copied, reproduced, republished, uploaded, transmitted, sold, or otherwise exploited for commercial purposes without our prior written consent.

Subject to your compliance with these Terms, we grant you a limited, nonexclusive, nontransferable, revocable license to access and use the Site for personal, noncommercial purposes. All rights not expressly granted are reserved by KidsMates.

 

USER REPRESENTATIONS
By using the Site, you represent and warrant that:

  • all information you submit is accurate, current, and complete;

  • you have the legal capacity to enter into and comply with these Terms;

  • you are not under the age of 13;

  • if a minor, you have parental permission to use the Site;

  • you will not access the Site through automated or non-human means;

  • you will not use the Site for unlawful or unauthorized purposes; and

  • your use of the Site will not violate any law or regulation.

If you provide false or misleading information, we may suspend or terminate your access to the Site.

 

PROHIBITED ACTIVITIES
You agree not to:

  • collect or compile Site data without written consent;

  • use the Site for advertising or solicitation;

  • bypass or interfere with Site security features;

  • frame, link, or replicate the Site without authorization;

  • impersonate or mislead others;

  • use automated scripts, bots, or data extraction tools;

  • disrupt the Site’s functionality or servers;

  • use the Site for harassment, defamation, or harm to others;

  • reverse engineer or decompile Site software;

  • upload malware or harmful code;

  • or use the Site in violation of any law or regulation.

 

SUBMISSIONS
Any suggestions, feedback, or other materials you submit to KidsMates (“Submissions”) become our exclusive property. We may use or disclose them for any purpose without compensation to you. You waive all moral rights and represent that you have the authority to grant these rights.

 

THIRD-PARTY WEBSITES AND CONTENT
The Site may contain links to third-party websites or display third-party content. These are provided for convenience only. We do not control, endorse, or assume responsibility for any third-party sites, content, or transactions. Your use of third-party resources is at your own risk and subject to their respective terms and policies.

 

SITE MANAGEMENT
We reserve the right, but not the obligation, to:

  • monitor Site activity for violations;

  • restrict or terminate access for misconduct;

  • remove or disable content deemed harmful or unlawful;

  • manage the Site to maintain security and integrity.

 

PRIVACY POLICY & COOKIES POLICY
We value your privacy and data security. Your use of the Site constitutes agreement to our Privacy Policy and Cookies Policy, which describe our data collection and processing practices. By using the Site from outside the U.S., you consent to the transfer and processing of your data in the United States.

 

COPYRIGHT INFRINGEMENTS
We respect intellectual property rights. If you believe content on the Site infringes your copyright, please notify us in writing with sufficient detail for verification. Knowingly submitting false infringement claims may result in legal liability.

 

TERM AND TERMINATION
These Terms remain effective while you use the Site. We may, at our discretion, terminate or restrict your access without notice for any violation of these Terms or applicable law.

 

MODIFICATIONS AND INTERRUPTIONS
We may modify, suspend, or discontinue any part of the Site at any time without notice. We are not liable for any loss or disruption arising from such actions. We do not guarantee the Site will always be available or error-free.

GOVERNING LAW
These Terms are governed by the laws of the State of Florida, U.S.A., without regard to conflict-of-law principles. You consent to exclusive jurisdiction and venue in the courts located in Palm Beach County, Florida, except where prohibited by law.

 

NO WARRANTIES
THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SITE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.

LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KIDSMATES INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SITE OR RELIANCE ON ITS CONTENT. YOUR SOLE REMEDY FOR DISSATISFACTION IS TO CEASE USING THE SITE.

 

INDEMNIFICATION
You agree to indemnify and hold harmless KidsMates Inc., its affiliates, officers, employees, and agents from any claims, losses, damages, or expenses (including attorneys’ fees) arising out of your use of the Site, violation of these Terms, or infringement of third-party rights.

 

USER DATA
We maintain certain data related to your Site use. While we implement regular backups, we are not responsible for data loss or corruption.

 

ELECTRONIC COMMUNICATIONS AND SIGNATURES
By using the Site or contacting us electronically, you consent to receive communications in electronic form. Electronic agreements, signatures, and notices satisfy any legal requirement that such communications be in writing.

 

MISCELLANEOUS
These Terms and any policies posted on the Site constitute the entire agreement between you and KidsMates. If any provision is found unlawful or unenforceable, the remaining provisions remain in effect. No joint venture or partnership exists between you and KidsMates. Failure to enforce any right shall not constitute a waiver.
